GAIN Capital stockholders approve Christopher Sugden election as Class II director

Stockholders of Gain Capital Holdings Inc (NYSE:GCAP) approved the appointment of Christopher Sugden as Class II director at the company at the 2015 Annual Meeting of Stockholders held on Monday.

Having a board of directors made up of several groups or classes has several advantages for a company. These include securing extra protection against hostile takeovers.

Mr Sugden’s election was approved with 21,583,052 votes cast in favor of the proposal. He is set to serve as Class II director until GAIN’s 2018 Annual Meeting of Stockholders, or until his successor shall have been duly elected and qualified.

Christopher Sugden has served as a member of GAIN’s board of directors since April 2006. He is Managing Partner and Chairman of the investment committee of Edison Venture’s growth capital fund. Since May 2007, Mr. Sugden has served as a general partner of Edison Venture Fund.
