Hargreaves Lansdown (HL) Makes Multiple Board Changes Today

The Hargreaves Lansdown PLC (LON: HL) share price edged higher after announcing the appointment of Alison Platt as the Chair of the Board and as a Non-Executive Director of HL, pending customary regulatory approvals. Alison will succeed Deanna Oppenheimer, who will step down from her role as Chair of the Board and a Director of HL at HL’s Annual General Meeting (AGM) on 8 December 2023, after six years of service.

Currently, Alison serves as the Chair of Dechra Pharmaceuticals plc (Dechra), a specialist veterinary products business undergoing acquisition by EQT. She also holds the position of Non-Executive Director at Tesco plc and serves as the Chair of general insurer Ageas UK. Alison is expected to join HL’s Board in early 2024.

Alison previously served as Chair of L&G Financial Advice from 2019 to 2022 and as the CEO of Countrywide from 2014 to 2018. Her extensive professional background includes various senior roles at BUPA in the UK and internationally.

Following the AGM, while awaiting Alison’s regulatory approval as the new permanent Chair, Penny James has been appointed the Interim Chair. Penny currently holds the position of Senior Independent Director (SID).

Andrea Blance will assume the role of SID, effective 8 December 2023, and Penny and Andrea will return to their prior Board positions upon the appointment of the new permanent Chair. Penny James will chair the HL 2023 AGM.

Roger Perkin, who has been instrumental in the Chair selection process, has informed the Board that he will not stand for re-election at the AGM and will step down from the HL plc Board on 8 December 2023. Roger has served on the Board for six years, including as Chair of the Board Audit Committee.

Due to the issuance of the Company’s Notice of the AGM 2023 (the Notice), the Company confirms the withdrawal of Resolution 7, which pertains to the re-election of Deanna Oppenheimer as a Director of the Company. Likewise, Resolution 10, regarding the re-election of Roger Perkin as a Director of the Company, has been withdrawn.
